Please read these Terms of Service ("Terms") carefully before accessing the information available on assembly.org or its direct replacement address (the “Site”) operated by Assembly Organizing Oy, corporate ID 2245136-3, Finland ("Assembly", also "us", "we", or "our") and before using the services, features and functionality made available by us via the Site (collectively with the Site, the "Services").
Unless otherwise stated in service-specific terms and conditions, such as terms and conditions for contests or other terms and conditions, Assembly is responsible for the content, advertising, and other operational activities of the Services on the Site.
Access to the Site and use of the Services is conditioned upon your acceptance of, and compliance with, these Terms. By accessing or using the Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you do not have permission to access the Services, and you must immediately cease accessing and/or using the Services.
Services
The Services offered by us provide a platform on which you (the “User”) can follow content about events, gaming, esports, and digital culture. You may create an account, customize your profile, participate in raffles, and chat with other Users.
In order to use the Services, the User must register on the Site by providing us with certain requested information, such as user name and email address and establishing a password.
Users may grant electronic marketing permission to Assembly in order to receive information about the Site related products and services (Assembly newsletter). The permission may be cancelled through the unsubscribe link in the emails or by contacting privacyassembly.org.
If you do not wish to receive any communications regarding the Site or Services, you may contact us (privacyassembly.org), and our staff will delete you from our system, unless otherwise required by applicable laws and regulations.
Creating and administering an account
When you create an account to the Site (“Account”), you represent and warrant that you are above the age of 13, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your Account.
You are responsible for maintaining the confidentiality of your Account’s user name and password (collectively, “User Credentials”), including but not limited to the restriction of access to your computer and/or your Account information. You agree to accept responsibility for any and all activities or actions that occur in connection with your User Credentials and Account. You must notify us immediately upon becoming aware of any breach of the security or unauthorized use of your Account or your User Credentials.
Availability, Errors and Inaccuracies
We are constantly updating the products and services offered via the Site, and we reserve the right to modify or delete any Services at any time in our sole discretion. We may experience delays in updating information on the Site and in any advertising we do related to our products and services on third party web sites. The information found on the Site may contain errors or inaccuracies and may not be complete or current. Services may be mispriced, described inaccurately, or unavailable on the Site, and we cannot guarantee the accuracy or completeness of any information found on the Site.
We, therefore, reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.
Loot Boxes and Raffles
Our Services may allow you to earn Loot Boxes by participating in raffles (“Raffle”). A Loot Box is in effect an entry ticket to a Raffle. Raffles are open to all persons who are 13 years of age or older (“Entrant”). No purchase is necessary to enter the Raffle. Making a purchase or payment of any kind will not increase your chances of winning.
Loot Boxes may contain prizes including but not limited to gaming equipment, vouchers, gift cards and digital in-game or in-Site items. Prizes cannot be transferred, redeemed for cash or substituted by winner. Assembly reserve the right in its sole and absolute discretion to award a substitute prize of equal or greater value if a prize described in the Services is unavailable or cannot be awarded, in whole or in part, for any reason. Assembly makes no representation or warranty concerning the appearance, safety or performance of any prize awarded. Restrictions, conditions, and limitations may apply. Assembly will not replace any lost or stolen prize items. Assembly will handle all taxes, fees and surcharges.
Failure to comply with the Terms will result in forfeiture of the prize.
Enter a Raffle with two steps: (i) by submitting a promotional code (“Code”) with the online form on our Site during the time the Code is valid, and (ii) opening the Loot Box earned with the Code before the Loot Box expiration time described on the Site. Site’s database clock will be the official timekeeper for all Raffles and Loot Boxes. Each Entrant may only use a single Code once. Automated or robotic Entries submitted by individuals or organizations will be disqualified. Internet entry must be made by the Entrant. Any attempt by Entrant to obtain more than one entry by using multiple/different email addresses, identities, registrations, logins or any other methods, including, but not limited to, commercial contest/sweepstakes subscription notification and/or entering services, will void Entrant's Entries and that Entrant may be disqualified. Final eligibility for the award of any prize is subject to eligibility verification as set forth below.
When a Loot Box contains a prize, the winner will be notified immediately on the Site and by email at the email address they have provided in the Services approximately within 12 hours after opening the Loot Box. Assembly is not responsible for any delay or failure to receive notification for any reason, including inactive email account(s), technical difficulties associated therewith, or winner’s failure to adequately monitor any email account.
Prizes will be delivered within 30 days after a prize has been obtained from a Loot Box and the winner has submitted all the required details regarding the delivery. Physical prizes such as gaming gear will be delivered to the shipping address provided by the winner in the Services.
Shipping restrictions apply, see below. Digital prizes such as vouchers will be delivered to the email address provided by the winner in the Services.
Shipping of physical prizes is limited to addresses inside the EU.
If winner fails to deliver proper delivery information to the Services, or directly to Assembly via email, within 30 days of winning the prize, Assembly retains the right to cancel the delivery. If a delivered prize is returned back to Assembly by the delivery services for any reason, Assembly assumes no obligation to ship the prize again
Assembly assumes no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of Raffles; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, camera, computers or providers utilized in any aspect of the operation of a Raffle; (d) inaccessibility or unavailability of any network or wireless service, the Internet or website or any combination thereof; (e) suspended or discontinued Internet, wireless or landline phone service; or (f) any injury or damage to Users or to any other person’s computer or mobile device which may be related to or resulting from any attempt to participate in a Raffle or download of any materials in a Raffle.
If, for any reason, a Raffle is not capable of running as planned for reasons which may include without limitation, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of a Raffle, Assembly reserves the right at its sole discretion to cancel, terminate, modify or suspend the Raffle in whole or in part. In such event, Assembly shall immediately suspend all drawings and prize awards, and Assembly reserves the right to award any remaining prizes in a manner deemed fair and equitable by Assembly. Assembly and their possible co-operation parties shall not have any further liability to any User in connection with a Raffle.
Content
Our Services may allow you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("User Content"). You are responsible for any and all User Content that you post on or through the Services, including its legality, reliability, accuracy, and appropriateness.
By posting User Content on or through the Services, you represent and warrant that: (i) you own such User Content and/or that you have the right to use it, and (ii) the posting of such User Content on or through the Services does not violate any intellectual property or proprietary rights of any person or entity, including any privacy rights, publicity rights, copyrights, or any other contract rights. We reserve the right to terminate the account of anyone found to be infringing a third party’s intellectual property or other proprietary right or other requirements set in these Terms.
You retain any and all rights to any User Content you submit, post or display on or through the Services. We take no responsibility and assume no liability for User Content you or any third party posts on or through the Services, or that is posted publicly as a result of your use of the Services. The extent to which your User Content is available publicly is determined by the settings you choose as part of the Services. You are responsible for the ways in which your User Content is published via the Services. and/or Assembly assumes no responsibility for how User Content is shared by anyone not employed by Assembly .
Assembly has the right but not the obligation to monitor and edit all User Content provided by you and any other user of the Services, see also section “Restrictions” below.
Any materials, information, and other content made available through, or created by, the Services (“SUG Content”, but excluding User Content) is the property of Assembly and may only be used as intended as part of the Services or with permission. You may not distribute, modify, transmit, reuse, download, repost, copy, or use SUG Content, whether in whole or in part, for commercial purposes or for personal gain, outside of its intended purposes in connection with the Services without express advance written permission from Assembly .
Restrictions
You agree that you will not under any circumstances:
post any information via the Services that is abusive, threatening, obscene, defamatory, libelous, or racially, sexually, religiously, or otherwise objectionable and offensive;
use the Services for any unlawful purpose or for the promotion of illegal activities;
use the Services to promotional or marketing purposes;
attempt to, or harass, abuse or harm another person or group via the Services;
use another User’s Account without permission;
provide false or inaccurate information when registering an Account via the Site;
interfere or attempt to interfere with the proper functioning of the Services;
make any automated use of the Site or Services, or take any action that we deem to impose or to potentially impose an unreasonable or disproportionately large load on our servers or network infrastructure;
bypass any robot exclusion headers or other measures we take to restrict access to the Services or use any software, technology, or device to scrape, spider, or crawl the Services or harvest or manipulate data; or
publish or link to malicious content intended to damage or disrupt another User’s browser or computer.
We reserve the right to refuse service, terminate Accounts, remove or edit content, or cancel orders at our sole discretion.
Privacy Policy
Information that we collect from you in connection with the Services will be used in accordance with our Privacy Policy, which is incorporated into these Terms.
Intellectual Property
The Services and its content (including SUG Content, but excluding User Content), features and functionality are and shall remain the exclusive property of Assembly and its licensors. The Services are protected by copyright, trademark, and other laws of Finland and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Assembly.
Links to Other Web Sites
The Services may contain links to third party web sites or services that are not owned or controlled by Assembly (“Third Party Sites”). Assembly has no control over, and assumes no responsibility for the content, privacy policies, or practices of any Third Party Sites. We do not warrant the offerings of any of these third parties, or their websites, products or services.
You acknowledge and agree that Assembly shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any content, goods or services available on or through any Third Party Sites.
We strongly advise you to read the terms and conditions and privacy policies of any Third Party Sites that you visit.
Termination
We may terminate or suspend your Account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of these Terms.
If you wish to terminate your Account, you may simply discontinue using the Services. If you wish to have all data in your Account removed, you may contact customer support at privacyassembly.org, and we will remove all data associated with your Account, unless otherwise required by applicable laws and regulations.
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
Indemnification
You agree to defend, indemnify and hold harmless Assembly and their licensees and licensors, and their respective employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of: (a) your use and access of the Services, by you or any person using your User Credentials; (b) a breach of these Terms; or (c) any User Content posted by you via the Services.
Limitation Of Liability
In no event shall Assembly, its affiliates, nor their respective directors, employees, partners, agents, or suppliers, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of, or inability to access or use, the Services; (ii) any conduct or content of any third party made available via the Services; (iii) any content obtained from your use of the Services; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose. You agree that in no case shall the liability of Assembly, their affiliates, and their respective directors, employees, partners, agents, suppliers exceed the fees paid to and/or Assembly for the use of the Services, or the amount of hundred euros (EUR 100), whichever is greater.
Disclaimer
Your use of the Services is at your sole risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. The Services are provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance. and/or Assembly is not liable for loss of data due to misuse of the Services.
Assembly, their subsidiaries, affiliates, and its licensors do not warrant that: (a) the Services will function uninterrupted, secure or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Services are free of viruses or other harmful components; or (d) the results of using the Services will meet your requirements.
Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.
Governing Law
These Terms shall be governed and construed in accordance with the laws of Finland, without regard to its conflict of law provisions.
Disputes related to these terms or services will be primarily resolved through negotiations between Assembly and the User. If this is not successful, disputes will be resolved in the first instance at the Helsinki District Court. However, if the User is a consumer, they have the right to bring an action in the district court of their place of domicile in Finland. If the User is a consumer, they also have the right to request a recommendation for a solution to the dispute related to the Terms or Services from the Consumer Disputes Board (www.kuluttajariita.fi). Before submitting the matter to the Consumer Disputes Board, the User must contact the Consumer Advisory Service (https://www.kkv.fi/kuluttajaneuvonta).
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between User and us regarding our Services and supersede and replace any prior agreements we may have had between User and us regarding the Services.
Transfer of Agreement
The User is not entitled to transfer their rights or obligations under these Terms to a third party without the written consent of Assembly. Assembly have the right to transfer the maintenance of the Site and Services, as well as the related User accounts and personal data registers, or the User's Service agreement in whole or in part within the group or to a third party to which the business referred to in the User's Service agreement is transferred.
Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the Terms as revised. If you do not agree to the revised Terms, you are no longer authorized to use the Services.
